Please read these Terms of Service (“Agreement”) carefully. This Agreement is a binding contract between you (the “Customer”) and Startup Accountant Inc., a Delaware corporation (“Startup Accountant”), regarding your use of the services available through the website https://StartupAccountant.co (“Site”) and related applications (“App” or “Services”).

By accessing or using the Services, you agree to be bound by this Agreement. If you are acting on behalf of an organization, you represent and warrant that you are authorized to bind that organization.


1. Nature of Services

Startup Accountant provides cloud-based tools and technology that enable businesses to connect with third-party licensed professionals, including Certified Public Accountants (CPAs), enrolled agents, and other authorized tax professionals. Startup Accountant itself does not provide accounting, bookkeeping, tax preparation, legal, or financial advisory services. It is not a CPA firm or a registered tax advisor.

Any such services accessible through the platform are provided by independent third-party professionals, with whom the Customer enters into a separate engagement. Startup Accountant does not supervise or assume liability for their actions or performance.


2. Customer Eligibility

The Services are intended solely for use by legal business entities and nonprofit organizations. Individuals under the age of 18 or any entity or person prohibited by applicable law are not permitted to use the Services.

Startup Accountant prohibits use of the Services by:

  • Individuals or consumers for personal accounting purposes;
  • Individuals on the OFAC Specially Designated Nationals list;
  • Any user previously terminated for breach of this Agreement.

3. Third-Party Professionals

Startup Accountant facilitates introductions to and data transfer between Customers and third-party licensed professionals (“Third-Party Providers”). You acknowledge that:

  • You enter into a direct contractual relationship with each Third-Party Provider;
  • Startup Accountant is not responsible for their performance or advice;
  • Any liability arising from services rendered lies solely with the Third-Party Provider.

Startup Accountant does not verify the suitability, experience, or licensure status of Third-Party Providers beyond publicly available or submitted documentation.


4. Financial Data Storage and Visualization

Startup Accountant enables Customers to:

  • Upload and store business financial data;
  • Generate dashboards, summaries, and historical insights;
  • Share information with Third-Party Providers as directed.

However, Startup Accountant does not interpret, validate, or audit this data and assumes no responsibility for its completeness or correctness.


5. No Professional Advice Disclaimer

Unless explicitly stated in a separate written agreement between the Customer and a licensed Third-Party Provider, no content, guidance, or functionality provided by Startup Accountant shall be construed as legal, tax, accounting, investment, or financial advice.

Startup Accountant provides only administrative, logistical, and software functionality to streamline business workflows and data exchanges.


6. Account Responsibility

Customers are responsible for:

  • Protecting their account credentials and access codes;
  • Ensuring the accuracy of submitted data;
  • Monitoring account activity;
  • Notifying support@StartupAccountant.co immediately of unauthorized access.

Startup Accountant reserves the right to suspend or revoke access in cases of suspected misuse, fraud, or violation of these Terms.


7. Data Sharing and Privacy

Customer data may be shared:

  • With designated Third-Party Providers upon Customer’s request;
  • With legal authorities when required by law;
  • For purposes of platform functionality (e.g., analytics, backups).

Startup Accountant does not sell or disclose personal data for marketing purposes. All data is governed by the Privacy Policy.


8. Payment and Fees

Fees for Services are set forth at https://StartupAccountant.co/services. All fees are:

  • Quoted in USD;
  • Non-refundable (except as expressly stated);
  • Subject to change with 30 days’ notice.

By providing a payment method, Customer authorizes Startup Accountant to charge recurring or one-time payments.


9. ACH Authorization

Customer authorizes Startup Accountant and/or payment partners to initiate ACH debit/credit entries from designated bank accounts to settle fees. Customer must maintain sufficient funds and assumes responsibility for any incorrect routing/account information.


10. Refund Policy

Startup Accountant may, at its discretion, refund prepaid but unused fees (excluding the current month and up to two months of minimum term), unless the termination is due to Customer breach. Discounted plans are non-refundable.


11. Intellectual Property

Startup Accountant retains all rights in the software, tools, site content, and trademarks associated with the Services. You are granted a limited, non-transferable license to access the platform for your internal business purposes only.


12. Restrictions

You agree not to:

  • Misrepresent your identity or business status;
  • Reverse engineer, resell, or reproduce the Services;
  • Introduce malware or attempt unauthorized access;
  • Use the platform for illegal or deceptive activity.

Violation may result in immediate suspension or termination.


13. Indemnification

You agree to indemnify and hold harmless Startup Accountant, its affiliates, officers, employees, and agents from any claims, losses, or damages arising out of:

  • Your breach of this Agreement;
  • Your relationship with any Third-Party Provider;
  • Use or misuse of the Services;
  • Errors or omissions in data you provide.

14. Limitation of Liability

To the maximum extent allowed by law:

  • Startup Accountant shall not be liable for indirect, incidental, special, or consequential damages;
  • Startup Accountant’s total liability is capped at the fees paid by the Customer in the three months preceding the claim;
  • Startup Accountant is not liable for acts or omissions of Third-Party Providers or service interruptions beyond its control.

15. Arbitration and Governing Law

All disputes arising from or relating to this Agreement shall be resolved through binding arbitration under the AAA Commercial Arbitration Rules, seated in Wilmington, Delaware, USA. The Agreement is governed by Delaware law.

Each party waives any right to a trial by jury or class action litigation.


16. Term and Termination

This Agreement begins upon your use of the Services and continues until terminated by either party. You may terminate at any time by closing your account. Startup Accountant may terminate or suspend access for violations, inactivity, or technical or legal reasons.


17. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of the Services constitutes acceptance of the modified Agreement. You are responsible for reviewing the current Terms periodically.
